HUNGARIAN CLASSICAL MUSIC FOUNDATION

 

Preamble
I, the undersigned Founder, guided by the principals and aims developed together with András Kertész in order to support the emergence of Hungarian classical music and Hungarian musicians in Hungary and abroad and to ensure the operation of the MusiciansWho Internet portal created for such a purpose, have decided to establish the following Foundation in accordance with Paragraphs 74/A–F. § of Act IV of 1959 on the Civil Code:


 

1. THE FOUNDER: dr. Péter Lakatos, address: 1124 Budapest, Fodor 69.

 

 

2. THE NAME OF THE FOUNDATION: The Hungarian name of the foundation: Magyar Zeneművészeti Alapítvány   The English name of the foundation: Hungarian Classical Music Foundation

 

 

3. THE SEAT OF THE FOUNDATION: 1075 Budapest, Madách Imre út 14., Building A

 

 

4. THE AIM OF THE FOUNDATION
4.1 The aim of the Foundation is to create the largest classical music database in Hungary through the MusiciansWho Internet portal, which
4.1.1 popularizes classical music;
4.1.2 supports young Hungarian musicians starting their carriers;
4.1.3 represents and introduces Hungarian classical music and musicians in Hungary and abroad; and
4.1.4 collects all Hungarian and foreign information related to classical music and makes it available in a systemic way to musicians and other interested parties.
4.2 A further aim of the Foundation is to ensure the operation, updating and maintenance of the internet portal by researching further possibilities of targeted subsidies in cash and in kind and by acquiring such targeted subsidies, in excess of the assets provided.
4.3 The Foundation is independent from political parties, it does not receive support therefrom and it does not post or support candidates for membership of parliament.

 

5. THE ASSETS AND THE ASSET MANAGEMENT OF THE FOUNDATION
5.1 The Founder has provided in total HUF 1,000,000,- that is one million Hungarian Forints in cash.
5.2 The asset of the Foundation and the amounts incoming from joining the Foundation shall be used for the operation, development of the MusiciansWho Internet portal and the related marketing activities, for the payment of costs occurring in connection with the operation of the Foundation and for the payment of the eventual scholarships, tenders and request being in compliance with the aims of the Foundation. The initial assets of the Foundation form its capital asset. The targeted grants provided to the Foundation and amounts from those joining the Foundation do not form a part of the capital asset of the Foundation. The amount of the capital asset, the yield therefrom and amounts from those joining the Foundation can be used for the purpose of the aims of the Foundation as a whole.
5.3 The Foundation may employ employees in primary and secondary employment in order to realize the aims of the Foundation more efficiently. 
5.4 The Foundation is open to the public. Any domestic or foreign natural or legal person may join the Foundation if they agree with the aims of the Foundation and support it financially, subject to the fact that the joining parties will only have the status of joiners, which will not affect the Founder’s rights related to the Foundation.
5.5 The Foundation may conduct entrepreneurial activities as well, however these shall not be the main activities of the Foundation. The entrepreneurial activities shall not endanger the aim of the Foundation and the profit originating from entrepreneurial income shall only be used in accordance with the aims of the Foundation.

 

 

6. THE OPERATIVE BODY OF THE FOUNDATION
6.1 The operative body of the foundation is the Curatorium, which has 3 members.The members of the Curatorium:
6.1.1 Dr. Péter Lakatos, the co-chairman of the Curatorium and the Founder
6.1.2 Eszter Mariann Szalai
6.1.3 András Kertész, the co-chairman of the Curatorium
6.2 The representative of the Foundation (from the members of the Curatorium): András Kertész. The representative of the Foundation is entitled to use the title: the Director of the Foundation.
6.3 The representative of the Foundation disposes alone over the bank account of the Foundation.
6.4 The Founder appoints the members of the Curatorium for an indefinite period. Within the framework set out in 73/C. § (3) of the Civil Code, the Founder in its own discretion, independently and with the obligation to justify any decision, may decide to modify the composition of the Curatorium or to appoint other persons instead of one or more members of the Curatorium.
6.5 The Curatorium shall decide over the use of the money and other assets owned by the Foundation in accordance with the aim of the Foundation. Furthermore, it is entitled to establish the rules of its own operation.
6.6 An operational body, in which the Founder may have – direct or indirect - determining influence on the using of the assets of the Foundation, shall not be appointed or established.
6.7 The Foundation shall be liable for damage caused to third parties by the Curatorium or its members in the course of conducting its/their tasks. The members of the Curatorium shall be liable for the damage caused to the Foundation in such nature, in accordance with the general rules of the civil law. 
6.8 The Curatorium shall have meetings as necessary, but at least once a year, and once a year it may inform the Founder and the joiners of its activities, with special regard to the management and use of the assets of the Foundation.
6.9 The Curatorium shall be convened by either co-chairman alone, in writing. The convening of the Curatorium shall be considered to be in accordance with the rules if the members are informed of the meeting at least eight days before the date thereof and they receive a description of the subjects of the meeting.
6.10 The meetings of the Curatorium are open to the public. The Curatorium has a quorum if the meeting was convened according to the rules and all members are present at time of the adoption of the resolution.
6.11 The Curatorium adopts its resolutions by open voting, by a simple majority.
6.12 A memorandum of the meeting of the Curatorium shall be prepared in all cases, from which the content, the time and the force of the Curatorium’s decisions, the number of supporting and opposition voters (and if possible the identity thereof) can be established.

 

 

7.TERMINATION OF THE FOUNDATION
7.1 The provisions of 74/E. § of the Civil Code shall be governing in respect of the termination of the Foundation. Upon the possible termination of the Foundation, following the satisfaction of creditors, the assets of the Foundation shall be returned to the Founder to the extent of its initial contribution, the remaining amount shall be used for aims similar to the aims of the Foundation and the public shall be informed thereof accordingly.
8. OTHERS
8.1 Matters not regulated in this Deed of Foundation, shall be governed by the provisions of 74/A–74/F. § of the Civil Code, Act I of 1990, and Act CVI of 2001.
8.2 The Foundation is a legal entity. This Foundation shall come into being upon the registration of the Metropolitan Court. Registration shall not be refused if the Deed of Foundation complies with the conditions set out in the relevant legal regulations. The Foundation may commence its activities on the day of becoming binding and non appealable of the resolution on registration.
